A business can need more than one. Registering for sales tax does not qualify a foreign entity to do business, and qualifying with the Department of State does not let you collect a cent of sales tax.
Who needs a Certificate of Authority
- Anyone selling taxable goods or services in New York. Most tangible goods are taxable. Services are taxable only where the law names them, so check the service side rather than assume it.
- Businesses with a physical presence. An office, employees, or inventory stored in the state, including stock in a fulfillment warehouse you have never visited.
- Remote sellers over the economic threshold. New York requires both tests to be met, more than $500,000 delivered into the state and more than 100 sales, counted over the previous four sales tax quarters.
- Anyone wanting to buy for resale. A resale certificate needs a valid Certificate of Authority number behind it. This is why suppliers ask for it before they will sell to you wholesale.

A retailer wanting to sell New York Lottery tickets has to be a registered sales tax vendor first, and the Certificate of Authority is that registration. Lottery licensing belongs to the Gaming Commission and is a separate application. It will not proceed without your sales tax registration, and the business must be trading under that registration for at least three weeks first.
The same pattern holds for tobacco and alcohol. If you are opening a store that will sell any of these, register first and apply for the category licenses afterwards.

Certificate of Authority FAQs
Is a Certificate of Authority the same as a business license?
No. It does not license your business to trade. It authorizes you to collect sales tax, so a restaurant still needs its health permit before it opens.
Does a Certificate of Authority expire?
No. It stays valid until it is surrendered or revoked. There is no three year renewal cycle for the sales tax certificate, and no renewal fee.
Do I need a Certificate of Authority for each location?
Each location needs a certificate, but not a separate application. Locations run as one business are registered together and share a sales tax identification number.
Does registering for sales tax let an out of state company do business in New York?
No. That is the Department of State filing, a different document with the same name. A company selling taxable goods here often needs both.
